Effective Date: February 6, 2026

1) Introduction & Acceptance

1.1. These Terms of Use (“Terms”) govern your use of VAULT - a non-custodial crypto wallet application and related interfaces (mobile/desktop apps, web, Telegram Mini App) (the “Service”). VAULT is operated by AdSkill Limited (Hong Kong) (“we”, “us” or “Vault”). Registered address and contact: Unit 1603, 16th Floor, The .L Plaza, 367-375 Queen’s Road Central, Sheung Wan, Hong Kong; Privacy Officer: privacy@stablevault.app.

1.2. By installing, accessing, or using the Service, and by explicitly accepting these Terms through the interface provided upon first launch of the application, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1.3. We will never request your seed phrase or private keys. Support must never ask for them. Report any such request immediately.

2) Definitions

Capitalized terms have the meanings in Annex C (Definitions).

3) Service Description

3.1. Non-custodial wallet. VAULT does not custody user private keys or seed phrases; keys remain on your device. We cannot recover lost keys.

3.2. Gas abstraction. The wallet may support gas sponsorship/relaying on supported networks (e.g., TRON energy/relayer). Details in Annex A.

3.3. Optional integrations. The app may show or route to Third-Party Services (on/off-ramp, DEX aggregators, bridges, analytics). We do not control or guarantee Third-Party Services (see §7).

3.4. Networks. Current production network(s): TRON (additional networks may be added). See Annex A (Technical Parameters).

4) Eligibility & Restricted Jurisdictions

4.1. You must be 18+ (business policy). Do not use the Service if you are under 18.

4.2. You must not be located in, organized in, or ordinarily resident of any country or territory subject to comprehensive sanctions; and you must not be on any sanctions list (e.g., OFAC SDN, EU consolidated list, UKsanctions list).

5) Account & Security

5.1. No custody/recovery. You are solely responsible for your device, seed phrase, and backups. We cannot recover your wallet.

5.2. Optional Contact Identifier. You may choose to provide an email address for the purpose of receiving support communications and important service notifications. This email address may be linked to your wallet address internally solely for these purposes, and for security and anti-abuse measures. It does not constitute an 'account' and cannot be used to access or control your wallet.

5.3. Prohibited sharing. Do not share credentials or authorize others to use your wallet.

6) Fees, Taxes & Referral Program

6.1. Network fees. On-chain transactions require network resources (gas/energy/bandwidth). If gas - abstracted/sponsored, we or a relayer may pay fees per policy in Annex A; you remain responsible where sponsorship is unavailable.

6.2 Service Fees. In addition to network fees (as described in Section 6.1) and any fees charged by Third-Party Services, Vault may apply a service fee (hereinafter referred to as "Service Fee") to certain transactions processed through the Service. This Service Fee is charged by Vault for the provision of its services, including but not limited to gas abstraction and enhanced user experience. The current Service Fee amounts and detailed information regarding their calculation and application are published on the Vault MobileApp before each and any of your transaction. Vault reserves the sole discretion to revise and amend any Service Fees, and any updates on the fees shall be posted on the Website. You are advised to obtain the updated fee information on the Website from time to time. By using the Service, you agree to the application of such Service Fees as published on the website. Details regarding the calculation and application of Service Fees may be further specified on the Website.

6.3. Taxes and Tax Indemnification. You agree that you are responsible to calculate, validate, and pay any and all applicable taxes and duties assessed, incurred, or required to be collected ("Taxes"). Vault and its affiliates are not responsible for determining whether Taxes apply to your transaction, or for collecting, reporting, or remitting any taxes arising from any transaction or for reporting any information, to you or any taxation, governing, or third authority. You agree to indemnify us and our affiliates against any claim or demand for payment of any fines, penalties, similar charges, or costs imposed or incurred as a result of your failure to remit or report any Taxes in connection with any transaction.

6.4. Referral Program. Vault may, from time to time, offer a referral program ("Referral Program") allowing users ("Referrers") to earn rewards by inviting new users ("Referees") to register and use the Service. Participation in the Referral Program is subject to these Terms and any specific terms and conditions published on the Vault website at https://www.stablevault.app/referral-program.

6.5. Eligibility. To participate as a Referrer, you must have an active Vault wallet. Referees must be new users who register with a valid referral code provided by a Referrer.

6.6. Referral Rewards. Referrers may earn a percentage of the profit generated by Vault from transactions made by their Referees. The detailed terms and conditions of the Referral Program, including current reward percentages, eligibility criteria, and payout schedules, are published on the Vault website at https://www.stablevault.app/referral-program.

6.7. Reward Calculation and Payouts. Referral rewards will be calculated based on the Service Fees successfully collected by Vault from eligible transactions of Referees. Payouts to Referrers will be processed monthly. Vault reserves the right to adjust the reward percentage, calculation methodology, and payout schedule at any time, with prior notice to Referrers where required by law.

6.8. Referral Code. Referees must enter a unique referral code provided by the Referrer during the registration process to be linked to that Referrer. Referral codes cannot be applied retroactively.

6.9. Limitations and Prohibitions. Vault reserves the right to disqualify any Referrer or Referee from the Referral Program, and to withhold or reclaim any rewards, if it determines, in its sole discretion, that there has been fraud, abuse, or a violation of these Terms or any applicable laws. Prohibited activities include, but are not limited to, self-referral, creating multiple accounts, or engaging in any deceptive or manipulative practices.

6.10. No Guarantees. Vault does not guarantee any specific level of earnings or success through the Referral Program. The program may be modified, suspended, or terminated by Vault at any time without prior notice.

7) Third-Party Services

7.1. The Service may integrate or deep-link to on/off-ramps, DEXs/aggregators, bridges, analytics (see Annex B). These are not under our control; your use is governed by their terms.

7.2. We do not warrant Third-Party Services and are not liable for their acts/omissions.

7.3. Some Third-Party Services may require KYC/AML. For example – our Relayer/Energy provider tr.energy (a service that helps save on fees in the TRON network) with the following API (https://tr.energy/ru/consumers/dashboard). You acknowledge and agree that Third-Party Service Providers (as described in Section 7.1) may pay a commission to Vault for any User who utilizes Third-Party Services via Vault. This commission does not affect the Service Fees charged to you by Vault, but it is a compensation for facilitating access to such Third-Party Services.

8) Risk Disclosure

8.1. Irreversibility & finality. You assure that you will not share with any other person, including Vault or any of our staff, agents, or contractors, any passwords, pattern locks, or Mnemonic Words of your wallet(s). Vault will never ask for your Mnemonic Words or private keys. We shall not be held responsible for the security usage of your wallet(s) or any unauthorized access to your wallet, including any access occurring as a result of hacking activity arising from your fault, fraud, phishing, or any other criminal activity perpetrated by any other persons. Furthermore, you are responsible for downloading, installing, and using updated versions of the Service and ensuring any software or application is downloaded or installed only from official Vault sources.
